Terms and Conditions of Service
This agreement ("Agreement") is entered into by and between BOOKTHESTUDIOS.COM ("BOOKTHESTUDIOS.COM") and the registered user ("Engineer") collectively referred to as "Parties".
1. Introduction
1.1. BOOKTHESTUDIOS.COM provides a service to connect musical clients ("Clients") with musical engineers ("Engineers") for the purpose of booking musical projects.
1.2. By using BOOKTHESTUDIOS.COM's services, the Engineer agrees to comply with and be bound by the terms and conditions outlined in this Agreement.
2. Prohibited Direct Contact
2.1. The Engineer acknowledges and agrees not to directly communicate with Clients outside of BOOKTHESTUDIOS.COM's messaging system for any reason, including but not limited to project discussions, payment arrangements, or scheduling.
2.2. Any attempt to bypass BOOKTHESTUDIOS.COM's communication system may result in immediate suspension or termination of the Engineer's account.
3. BOOKTHESTUDIOS.COM as Intermediary
3.1. BOOKTHESTUDIOS.COM acts as an intermediary for communication and transactions between Clients and Engineers. All communications, negotiations, and agreements must be conducted through BOOKTHESTUDIOS.COM.
3.2. BOOKTHESTUDIOS.COM retains the right to monitor, moderate, and intervene in any communication if it deems it necessary to ensure the compliance of both Parties with this Agreement.
4. Project Bookings
4.1. When a Client selects an Engineer for a project, BOOKTHESTUDIOS.COM will facilitate the booking process. Engineers must accept or decline the project within the time frame specified by BOOKTHESTUDIOS.COM.
4.2. Once a project is accepted, BOOKTHESTUDIOS.COM will provide necessary details to both Parties, including project scope, agreed compensation, and scheduling information.
5. Fees and Payments
5.1. BOOKTHESTUDIOS.COM may charge a commission or service fee for each successfully completed project.
5.2. The Engineer agrees to abide by BOOKTHESTUDIOS.COM's payment policies, including any processing fees and withdrawal processes outlined by BOOKTHESTUDIOS.COM.
6. Limitation of Liability
6.1. The Engineer acknowledges and agrees that BOOKTHESTUDIOS.COM shall not be held liable for any damages, losses, or risks incurred as a result of interactions with Clients or other users of BOOKTHESTUDIOS.COM.
6.2. The Engineer further acknowledges that they assume full responsibility for their interactions with Clients and any risks associated therewith.
7. Intellectual Property
7.1. Any content created or shared during the project, including but not limited to music files, lyrics, and compositions, remains the property of the respective Parties as outlined in the Project Agreement.
7.2. The Engineer must obtain the necessary rights and permissions for any materials they incorporate into the project.
8. Termination
8.1. Either Party may terminate this Agreement at any time for any reason.
8.2. Upon termination, any ongoing projects must be completed according to the terms agreed upon prior to termination.
9. Miscellaneous
9.1. This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or understandings, whether written or oral.
9.2. Any modifications or amendments to this Agreement must be made in writing and agreed upon by both Parties.
10. Indemnification
10.1 BOOKTHESTUDIOS ("Platform") shall not be held liable for any claims, damages, losses, liabilities, costs, or expenses arising out of or related to any disputes or issues between musical engineers and customers on the platform.
10.2 By using this platform, both musical engineers and clients agree to indemnify and hold harmless BOOKTHESTUDIOS, its officers, directors, employees, and agents from any and all claims, demands, suits, or other actions, including legal fees, arising out of or relating to their use of the platform.
10.3 Dispute Resolution: In the event of any dispute, claim, or controversy arising out of or relating to the use of the Platform, the parties agree to engage in good faith negotiations to attempt to resolve the matter amicably. If resolution cannot be reached through negotiation, the parties agree to submit the dispute to mediation in accordance with the rules of BOOKTHESTUDIOS If mediation is unsuccessful, the parties may pursue legal action in accordance with the terms of this Agreement.
10.4 Limitation of Liability: The Platform is provided on an "as-is'' and "as-available" basis. BOOKTHESTUDIOS makes no representations or warranties of any kind, express or implied, regarding the availability, accuracy, or reliability of the platform or any content therein. In no event shall BOOKTHESTUDIOS be liable for any indirect, incidental, special, punitive, or consequential damages, including without limitation, lost profits, data, use, goodwill, or other intangible losses.
10.5 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
10.6 Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
